1. Acceptance of Terms

By accessing and using our services, you accept and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you must not use our services.

2. Services Description

Cybersync Technologies Private Limited provides web development, mobile app development, and digital transformation services. The specific deliverables and timelines will be outlined in individual project agreements or statements of work.

3. Refund Policy

Payment & Refund Terms

Milestone Payments: All payments made against milestones are non-refundable once paid.

MVP Plans: There is no refund policy for MVP plans. Refunds are not offered for completed or partially completed MVP deliverables.

Refund Eligibility: Refunds may be requested only if delivery has not been completed. If we fail to deliver the agreed-upon scope and the project remains undelivered, you may be eligible for a refund subject to our review and the terms of your project agreement.

4. Client Responsibilities

As a client, you agree to:

Provide accurate and complete information
Respond to requests for information in a timely manner
Review and provide feedback on deliverables
Pay agreed-upon fees according to the payment schedule
Maintain confidentiality of proprietary information

5. Payment Terms

Our pricing is based on fixed hourly rates depending on project requirements. Projects are billed for the entire project based on estimated hours and the agreed hourly rate. Payment terms and milestone structure will be specified in individual project agreements and may vary from project to project.

Fixed Price Option: For our standard 7-Day MVP package, a fixed price is available only if your project requirements match our standard MVP scope exactly. If your needs differ, we'll provide a custom quote based on our hourly rates.

Long-Term Support: Ongoing support and maintenance services are billed at hourly rates depending on project requirements. Please contact us for current support pricing.

Late Payment Policy

Penalty: Late payments will incur a penalty of Rs. 1,000 per week for each week the payment is overdue.

Platform Access Restriction: If you have any unpaid or pending dues, your platform access will be restricted. You will not be able to use the platform, software, or any deliverables until the outstanding dues are cleared. A payment notification will be displayed on your platform requesting settlement of dues.

Automatic Service Termination: If payment is delayed by 3 weeks or more, the outstanding dues must be cleared immediately. Failure to clear dues within this period will result in automatic termination of the service. The service will be stopped immediately upon expiry of the grace period, without further notice. The project may also be placed on hold at our discretion prior to termination.

6. Intellectual Property Rights

Upon full payment, you will receive ownership rights to the final deliverables. However, we retain ownership of:

Pre-existing materials and tools
Generic components that can be reused
Development frameworks and libraries

IP Retention During Non-Payment

All intellectual property, including source code, designs, and deliverables developed under any agreement, remains the sole property of Cybersync Technologies Private Limited until payment for the agreed period has been fully cleared. Until such payment is completed, we retain full rights to use, modify, license, sell, or otherwise dispose of such intellectual property at our sole discretion. Ownership transfers to you only upon full settlement of all dues for the relevant period.

7. Project Timeline and Delays

While we strive to meet all project deadlines, delays may occur due to:

Changes in project scope
Delayed client feedback or materials
Technical complications
Force majeure events

8. Termination

Either party may terminate the service agreement with 30 days written notice. In case of termination:

You will be billed for work completed up to the termination date
All materials and access must be returned
Confidentiality obligations remain in effect

9. Limitation of Liability

Cybersync Technologies Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services.

10. Dispute Resolution

Any disputes shall be resolved through arbitration in Sribhumi, Assam, India, under Indian law.

11. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website.
